Chairman of the SPTC Board
The Chairperson is responsible for leadership of the Board, ensuring its effectiveness on all aspects of its role and setting its agenda.
The Chairman co-ordinates the work of the Board and its committees and ensures that the board members are provided with timely information relevant for performing their duties and responsibilities. The Chairman may attend any committee meeting as well as the meetings as a guest. He participates in the discussions, but has no voting right.
In the event that the Chairman and CEO is not the same person, they (Chairman and CEO) maintain a regular dialogue on all significant matters concerning the Company. The Chairman shall actively challenge and support the CEO in developing the strategic business plans and objectives of the company.
He/She shall also be actively involved in establishing succession plans for key management positions. The Chairman assumes a leading role in forming the Company’s Corporate Governance and drives the respective discussions on Governance.
Roles and Responsibilities of the Chairman
The Chairman of the Company is expected to fulfill the following specific responsibilities:
- Ensure the smooth functioning of the board, the governance structure and inculcating positive culture in the board;
- Provide guidelines and procedures are in place to govern the board’s operation and conduct;
- Ensure all relevant issues are on agenda for board meeting and all directors are able to participate fully in the board’s activities;
- Chair board debates on strategic and critical issues;
- Ensure the board receives the necessary information on a timely basis from the management;
- Provide avenues for all directors to participate openly in the discussion; and
- Provides leadership to the board and responsible for the developmental needs of the board.
